Acceptance of Terms

By accessing and using the Stopbase website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations.
If you do not agree with any part of these terms, you may not use our services.
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.

Stopbase provides custom software development services including web development, mobile applications, CRM solutions, ERP systems, e-commerce platforms, and cloud solutions.
The specific scope, timeline, and deliverables for each project are defined in individual project agreements or statements of work.
We reserve the right to refuse service to anyone for any reason at any time.

All projects are governed by a separate project agreement that outlines scope, deliverables, timeline, payment terms, and other project-specific conditions.
Changes to the project scope may result in adjustments to the timeline and cost, which will be communicated and agreed upon in writing.
Both parties may terminate a project agreement according to the termination provisions specified in the project agreement.

Upon full payment, clients receive full ownership of the custom code and deliverables created specifically for their project, unless otherwise specified in the project agreement.
Stopbase retains ownership of pre-existing tools, frameworks, libraries, and methodologies used in the development process.
Stopbase reserves the right to use general knowledge and experience gained during the project for future work.
We may showcase completed projects in our portfolio unless the client requests otherwise in writing.

Payment terms are specified in individual project agreements. Typical arrangements include milestone-based payments or monthly retainer fees.
Invoices are due within 14 days of issuance unless otherwise agreed upon.
Late payments may incur a fee of 1.5% per month on the outstanding balance.
Work may be paused on accounts with outstanding payments exceeding 30 days.

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.
We provide a 30-day warranty period after project delivery during which we fix any bugs or issues at no additional cost.
Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific project in question.
We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement.
This obligation survives the termination of the project agreement for a period of two years.
Confidential information does not include information that is publicly available or independently developed.

You may not use our website for any unlawful purpose or in any way that could damage, disable, or impair the website.
You may not attempt to gain unauthorized access to any part of our website, servers, or systems.
Content on our website, including text, graphics, logos, and images, is the property of Stopbase and protected by copyright laws.

These Terms of Service are governed by and construed in accordance with applicable laws.
Any disputes arising from these terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.
You agree to submit to the exclusive jurisdiction of the courts in our principal place of business.
